Changing domicile of business in Switzerland - GmbH

HI all - has anyone every changed their domicile of their business i..e ever moved from one canton to another with the business - I have a GmbH - what steps do I need to do to change the location of the GmbH to another canton? any help welcome - thanks! Tanya

Contact commercial register where yopur company is domiciled now, show them a rental contract for new premises, (this could also be your home) make the change and pay something. (In Vaud i think it's Chf 40.--, but this is cantonal)

You will need to finalise accounts and do tax decalaration when you move from Canton A, and pay the taxes, then do tax decalartion for canton B.

You really sure you want to move, if it's for tax reasons, then you need substantial taxable profit /assets to make it worthwhile.

We are moving there to be closer to my husband's work... and as I work from home I guess I need to do it.. I am guessing I would need to see a notary too? I have a GmbH.

Ring up commercial registtry in new canton as ask, normaly for simple name change don't need a notary.

I assume that you are in compliance with the law regarding licensing of staffing agencies (Bundesgesetz über die Arbeitsvermittlung und den Personalverleih) and that you have a license issued by the canton in which your company is domiciled (and I see, looking at the list of approved agencies that you are).

If so, you will need to get a new license from the new canton in which you are registered.

You cannot avoid the notary, if you change cantons you definitely need to modify the statutes.

Your "Gemeinde" is hardcoded in the document, so a simple change of address within the same commune would be a trivial administrative update with the commercial register.

Anything more complex requires an update of the statutes and in consequence a notary (or an equivalent).

You deal with the commercial register of the destination canton. They will register the move and inform the canton of origin, where the company will be erased.

(I have not actually gone through this.)

There is a cost involved when changing address.

A friend of mine had to pay a couple ks just to change the address of his company within the same Canton.

Still it might not be your case to have to pay 1-2k, but I know there are some extra costs involved and it's better to check since I know of ppl who received the invoice some time later telling them that they didn't pay for the change in address of the company.

I've got enough companies and changed enough addresses to know it doesn't cost anywhere near this in any canton in Switzerland, there is a cost, that i don't dispute.

The exact cost is cantonnal.

But was it a genuine invoice they received or one of the many fraudulent invoices sent out by dodgy companies.
I got post today from Global Express, Latvia for 650 euro. It looked like an invoice for tracking and shipping goods. When I read the very small print I found it was not an invoice but an offer to list my GmbH name on some obscure web site.

I don't want to scare anyone.

Point is that it's better to be sure not to leave anything behind or undone when changing address and it's better to close anything tax related before they make you pay more for having changed address.

In my friend's case it was probably due to the fact that he changed to a lower multiplier town and didn't notify the change soon enough so his income was applied to the previous address' multiplier. I'm assuming it was due to this fact. Yet it's better to do things right and in time before you find yourself spending a couple ks just because of an address change. ;-)

It was an official invoice from the Canton or Town, honestly I can't remember which one sent it but I saw it myself. My thoughts on this are in my previous post but I simply wanted to advise to not take this step lightly and end up paying more just for a change in address or canton.

I'm sure "Today only" has more experience on this matter but since he knows all there's to it he wouldn't incur in some costly mistake.

So from my side I have to pay about 1500k to change canton address as I have to use an accountant to change GmbH address and I need to use a notary. Then I need to pay another 800CHF for change of my recruitment business license to Zug.. so all in all costing me about 2500CHF max it seems..

Agree with previous posts. You need to update the statutes if you move outside your current Gemeinde. The overall costs for the notary are about 700CHF which is almost as high as a new incorporation.
