Tax Advice on starting a new company

Hi all,

my name is Marc, i am starting a new XYZ SARL with equity of 20'000chf.

the plan is to sell 60% of it to a foreigner investors, a month after the creation of the company, for about 30'000chf, with a capital gain on the 60% of 18'000.

I already have another ABC SARL of which i own 100%.

Option a) i start the XYZ SARL as Marc
Option b) i start the XYZ SARL as ABC Sarl

1) Will i pay less taxes on the capital gain if i start the XYZ SARL as Marc or as ABC Sarl?

2) Are there other reasons, different than taxes, for which i should chose one or the other option?

There is no capital gains tax on selling shares?

yes that what i think too, but is it valid both for companies and private individuals or only private individuals?

before taking a decision i would like to be 100% sure, hence my post on the forum ;-)

Hi,

if the SARL is the owner of the new company then this is an asset and if you sell it the SARL has to declare it as income and pay taxes.
