What do I need to allow me to invoice a company?

Hi All,

Been back for 6 months and finding a suitable permanent role is proving difficult, so am going to go back to contracting.

I have one of the big four audit firms offering me a temp consultancy contract for 5 or 6 months.

Rather than going via an agency (who will take a minimum of 15%), I want to set up my own company so I can bill the client directly. What do I need to set up?

Previously, before I had a Swiss passport (which I now do ), I set up a GmbH with a Swiss partner to allow me to do this.

A bit of research suggests an Einzelfirma is the right legal vehicle for me to do it now that I am Swiss, but I just had a potential Truehand tell me that he didn't think that was the case?

All I want to do is to invoice the client, and then take care of the social benefits/tax requirements myself (from running the GmbH in the past, this seems the most tax efficient way of doing things), as well as pay myself a salary. Do I need to do a GmbH again, or is an Einzerlfirma sufficient? Earnings will be over 100k CHF per annum.

Swiss or not, you need approval from the AVS office to be a sole proprietor. And with only one client you will probably be seen as a de facto employee and it is not likely the AVS office will approve of your status, hence the plethora of payroll agencies.

Thanks - does anyone know a good company (cheap rates) I could go through? I asked an ex-colleague, they quoted 15% which seemed high to me compared to Ireland where I used to negotiate down to 2.5% in some instances. I assume there are more obligatory deductions at source here?

I assume I could side step this by opening a GmbH, but seems too much hassle and cost for something most likely only needed for 6 months.

there are certain consultancy firms that will do a deal with a lower rate of commission if you "bring" the business with you to them. off the top of my head is 10%..

setting up gmBh is more flexible but you do need to have all the insurances (liability, pension, sick pay etc) so it is a lot of work.. if you think it is only for 6 months then go to one of those firms, much cheaper that way. good luck.
