How to choose the right canton for a new business in switzerland


Good afternoon,



I am writing here seeking for help in this delicateprocess to register a new company in Switzerland.

I looked up the internet, canton sides and forums. Foundlots of information but still hard to integrate to decide.



Here is thefact:

- We are two friends, actually working and livingin Geneva and Lausanne, both with permit B (French citizens)

- We will open a small business (SARL/GmbH with minimum capital) , selling IT advises tocompanies outside Switzerland only (Asia).

- We will be both administrating from Switzerland,and remotely employing people on foreign site.

- We are ready to move flat if needed.

- We speak French and English / no German



My questions:

It is a small business, how to choose the best canton tocreate the business?

Considering :

- Taxes on benefice, on capital, (andeventual help from the canton, but this can only be clarify after talks withthen, and for small company I guess they don’t do it).

- VAT :we will make revenue only fromoutside Swiss, (I read that in Fribourg, they reduce your taxes if the businessis only abroad…)

- Working/living location (Geneva) is different tothe one of the business, it is a problem? Maybe the tax reward moving to the Germanside is not relevant if everything gets twice complicated.

- And probably other parameters I didn’t thinkabout… (please tell me if the case…)



Who can best help us answering these questions?

- Fiduciary : I got the feeling that theywill only advice on their canton, and not compare to other.

- Each canton one by one, asking them thetaxes they applied, reduction they can do for us, and all the hidden fee.

- Private company…



Well I am very open to any comments and advises, I hope Ipost enough information. Don’t hesitate to tell me and I will clarify better.

Dear Revan.

You should consider Kanton Zug. I think this is the best location for that kind of business
You will profit from very good conditions regarding the taxes.

Stay where you are. Get your business up and running. Then if you are making millions, get a tax lawyer to minimise your liability.

Seems you are putting the cart before the horse...

I don't agree. If you believe in your business, is it much better to start right from the beginning. Harder to change location afterwards.
I still recommend Zug.

But they are only French/English speakers so setting up the company in Zug would more difficult for them with respect to the language.
I'm sure that in Zug there are many English/French speakers but all the official paperwork etc will be in German.
Although from a tax point of view it would probably make sense I think they would be better off sticking to a French speaking canton for now. Setting up a business is stressful enough as it is without adding in a foreign language as an additional complication. Far better to start off in a canton where they already speak the language to set up the business and then consider moving at a later date if everything really takes off. I think it would be easier to move a well established business to Zug in the future rather than trying to set up a brand new one now.

Having said all that I'm afraid I can't help the OP in choosing the best canton for the start up.

Ok, I happen to have just build up an IT consultancy in Asia in the last two years which sounds strikingly similar to what the OP seems to be planning to do. It really is no issue to change location (or add another one) later on at all.

I fully agree with AbFab: Tax is a secondary issue - getting a business running is much harder. If you have your first million of revenues can you still look into your options. I do not know why you'd limit yourself to a Swiss canton and move your home apartment if your business is supposed to be in Asia.

We had a company set up in Singapore within 2 days or so. HK is similarly efficient. Both offer tax systems that can easily compete with Zug or Schwyz.
