Einzelfirma & Gmbh details in Zurich? [starting a business]

Hello,

I hope I can find out what was kind of impossible to find at the Commercial Registry of Zurich. I live in Zurich with my boyfriend. He has a B permit here for 5 years. I have none. We want to start a business which consists in importing some stuff from France and open a shop where to sell them here. Here would be my questions:
1. I would like to know if we can both create our own Einzelfirma and work like this, or if we have to do a Gmbh for a shop?
2. Is it possible that just one of us does the Einzelfirma and can hire the other? I mean is it possible to hire one or more people if you have an Einzelfirma?
3. If I have no working permit here, will they allow me to found an Einzelfirma?
4. What documents will they ask for if I want to make an Einzelfirma? Is it truw that they can ask you to prove that you have customers? How's that working like?
5. Can someone provide me the addresses where I have to go to get all this papers done in Zurich? I thought that is the same where you do the anmeldung but it is not couse I already asked there.
6. If we decide on a Gmbh, can I be part of it if I don't have a working permit?
7. What is the difference between Einzelfirma and Selbstanding?

Thank you in advance for your answers! Would help me a lot to figure all this out.

Re: einzelfirma & Gmbh details in Zurich?

You're living here without a permit? I'd say starting a business is the least of your concerns at this point. Get your residency permit sorted first.

Also here are some threads that may help answer some of your questions. Found using the search feature here and the phrase "starting a business":
  1. Starting a business in Switzerland. (112) 23.Apr.2014
  2. Starting a business importing Greek Olive Oil (47) 4.Apr.2014
  3. any requirements? [for starting a business] (9) 12.Mar.2014
  4. Immigration status of Non-EU starting a business in Switzerland (29) 17.Jan.2014
  5. Non-EU frustrated with the process of starting a business (6) 18.Dec.2013

Re: einzelfirma & Gmbh details in Zurich?

I can live here for 3 months without having to get a permit, so i don't see the urgent problem. I just want to find the answers to what I have asked before if someone knows them.
Thank you

Based on your description of 90 days (presumably non-EU tourist visa), take a close look at the non-EU links closely.

The first question is: Are you eligible to register (anmelden) to live here? If you're EU then yes you can register to live here and then look into starting an Einzelfirma or GmbH. It still might not be easy, as to get your own long-term permit you'd need to have a substantial enough cash-flow to prove to the authorities it would support you.

If you're non-EU then you need a reason to register - such as being married to someone with a permit, having a company/job to sponsor your permit, or having an insane amount of money.

Your posts so far lead me to believe you're non-EU which means you can't just rock up here and tell the authorities you want to work for yourself and they'll smile and hand over a permit.

Now, what if your boyfriend starts a company instead? The same question applies. If you're non-EU then he would need to go through the same hoops as any other employer to hire you. That is, he would have to prove there's no Swiss, EU, or non-EU with permit already here that could do the job. Pretty tall order for all but the most specialized positions.

If you're looking into starting a business together, perhaps you are already considering marriage? This would certainly make the whole thing a lot easier assuming you'd be eligible for a family reunification permit.

Re: Einzelfirma & Gmbh details in Zurich? [starting a business]

Ok, so I will be more speciffic.
My boyfriend and I just moved together in an apartment where both of us appear to be living here. Now I know I have to anmelden at the office, and as far as I know it should not be a problem as we plan to get married at the end of the year. He can assure me everything til we have this company/einzelfirma/gmbh.
Both me and him are from Romania, which is in EU but i know that has different status here than the rest of the countries. My boyfriend works here and has that insane salary and a B permit for 5 years.
If I can't make an Einzelfirma here, I guess we can do together a GmbH as we both have the address here and at the Commercial Registry they said i don't need a permit for that, and that i will get one once we have a GmbH.
Still I was more interested in that Einzelfirma thing.
And by the way, I would have one more question, how long does it take to create a GmbH here?

Thank you very much!

Succes.

P.S. Get married first, if you plan to do that anyway. There will be problems with your permit if you're "only" the fiancee. I knew someone from this forum in the same situation.

GmbH step by step

Hello,
Yesterday i had some questions regarding the Einzelfirma and now as we decided to start a GmbH i thought it's better to start another discussion, maybe it will be usefull also for others. I looked over all the discussions from this forum about starting a business here but there is no actual stept by step advice.
So i am interested in knowing if we can do all the documents or we have ro do them through startups.ch for example?
If we can do all that is necessary, which are the steps, we know the name of the gmbh is free and we have the money. Should we open the bank acount before or after we do the papers at a notary?
Does the notary do all the necessary papers for the GmbH and after we just go withe them at the commercial registry?
If there are 3 people in the GmbH they all have to live in Switzerland or is it ok if only 2 of them do?
Which is the real time for creating a GmbH?
When starting the papers stuff, all the members from the GmbH have to be present?
Is an empowerment from one of the members ok to start the papers? Even if it is made in other country and legally translated?
What is your recomandation, to do this through a notary or a startup company?
Can you provide links from the best startup companies that someone can find in Zurich?

Thanks for everything and wish you all a nice day!

I have merged the threads together, to keep the questions (and responses received so far) in one place.
