S.Verein [Establishment of a Swiss Verein]

Has somebody experience creating and managing a S.Verein?.

I am thinking to create one but I have doubts about the legal needs It regarding accountancy, commerce registry, etc...

I just wrote a post on Vereine for someone asking about gymnastics and I'm part of a few Vereine myself, co-founded one even.

Just to clarify: What's a S.Verein and what will it do? Because, depending on what it is that your Verein will do, you might have some minor differences.

As to a kind of general practise, not specific to your S.Verein but Vereine in general, here's a Beobachter piece on how to do it.

  • You need two people
  • Before you officially start to exist, you need to write the Statuten, the rules and legal aspects of your Verein down
  • The Statuten define the name, the location as well as the purpose of the Verein.
  • The name can be chosen at random as long as it's not irreführend, meaning that it can't confuse people. So a Car Verein can't be called Bike Verein.
  • The Statuten need to mention where the Verein gets its money from. Very often, it's from membership fees.
  • The membership fees need to be defined in the Statuten, as has to be the frequency of payment
  • You need to define personnel. Who is the Vorstand (the leadership) and who has which role?
  • During the foundation meeting, it's wise to elect the Vorstand who must be elected. That way, the Verein becomes instantly active and can act in a legal context
  • A Verein can only be disbanded by vote of all members
  • There needs to be an annual meeting of all members. This can't be foregone with letters or any other way. People must physically meet once a year.
That's the very basics of a Verein. Wikipedia has a fairly comprehensive article on it. As does this site, specialized in the administration of Vereine.

Thanks for the info I will read it in detail.

The idea is to have a legal structure to test some concepts on the internet . A kind of social-business lab to work on some ideas with a couple of fellas.

After that if the concepts are good we will see if we move them to a Gmbh or not. We have no money to pay all the legal paperwork of a Swiss Gmbh if we are offering free services...
