Sole proprietorship - few questions

I'm on an extended maternity leave; and as it's unpaid leave I have taken the first baby steps in establishing my very first company. I have decided for sole proprietorship as legal form; and started the process on StartBiz.

I would have a few questions though where I would be glad for help:
- if I'm employed 100% ( obviously now on the unpaid maternity leave) thus my employer pays for the AHV shall I still apply for one for the sole proprietorship?
- I expect the turnover to be below the 100,000 ( so an accountant is not mandatory); but would you advise to still use an accountant or can I do the P&L? Can I just use a software and do it myself?
- a possibly very stupid question.. I know that as it's below 100,000 there is no need for VAT registration and that I can just issue an invoice but I have no idea whether there is an official format for an invoice.. is there a downloadable template? Or what can I use?
- As for the insurance I guess the liability insurance is advisable is there anything else I would need based on experience?
- and the very last one ( again I guess a naive one): the legal text on the websites are drafted and crafted by lawyers? If yes What specialization should I look for? Commercial lawyer?

HI Giduca,
I've been using some open source web apps installed on my web server here for accounting. The easiest one was called Dolibarr and was more of a CRM tool with basic P&L functions.
The other is called frontaccounting and is a much more detailed and powerful tool. As I didn't know too much about accounting I found frontaccounting too complicated and used Dolibarr.

If you use an accountant for your accounts and tax declaratinos, you will probably save what it costs, as not only do they know where you can deduct and what you can deduct, the tax authorities will not bug you so much as the filing has been done by a profesional so the risk of error is far lower

Until we have some idea of your business, difficult to comment further.

There is no set template for invoices, look at a few of your invoices and make a model that suits your needs

VAT, if you have no number, some people won't deal with you as they can't claim it back, again, depends on amounts you are talking about, iuf you have a VAT number, you can of course claim back all the VAT on business expenses, yedt again, depends on your business.

I have founded a Sarl (GmbH) last year, opted for it instead of Individual Entrepreneur because the latter is responsible with all personal assets in case someone decides to sue you.

As I don't know much about how things are done I opted for a per-hour accountant advised by Startups.ch - in my case that's Findea. It all depends on the nature of the business - if there are import/export operations, number of transactions, suchlike. I didn't know what I should do in what order, so being taken by hand during my first year seemed the right thing to do. I only call for advice if I need a new salary calculation and suchlike.

VAT - I was said that I can work without registering VAT number. If turnover exceeds 100K during the year, I have 1 month to register the VAT. Make sure to check if you are subject to EU VAT in case you sell digital goods or export to EU.

Invoices - judging by the multiple invoice variants I've seen at various Swiss companies, there's no preset template. I just list my company name, number, contact details, goods/services descriptions the way I like it.

Insurance - For GmbH you need to get LAA in case your salary is really low, and further things about second pillar in case your salary is higher. The threshold for salary is ~1700 CHF per month. I don't know what's it's like for Individual Entrepreneur, but I am sure you can simply contact any insurance company and they'll be really happy to explain everything in detail. I got offers from Zurich, AXA Winterthur and some others when I started.

Oh, and as a GmbH I didn't need to submit annual report this year because I started business in the second half of the year (it was exactly 1 July 2016 in my case). I only need to do it after 1.5 years in business. Maybe this will be applicable in your case as well?

Hi everyone,
I'd like to start an online digital marketing business (B permit)... alone. I've just read in this thread that opening a GmbH would be a better solution to avoid trouble when someone may sue you. I'm Romanian. What do you think, how shall I go about it? What online resources have you found to be helpful?
