Renaming a GmbH

Hi EF,

Has anyone had experience in renaming a GmbH or changing the purpose of one?

I am specifically looking for the costs of doing this so i can compare with the costs of creating a new one.

It's not critically expensive, iirc.

With regard to changing the name: do you really need to? You don't have to trade under the GmbH name.

As for changing the purpose, you should ask a notary. Last time I asked (for an AG), I was looking at something like CHF 500.

Bigger issue is what you obligations you may have / assume in buying an existing GmbH (costs for renaming, changing activity, or domicile location are minor in comparison.)
New GmbH incorporation costs around CHF 2.5k, maybe even down to CHF 1k if use someone like startups.ch
IMHO, why take the chance, unless you know exactly what is behind the GmbH you buy/rename, you need the incorporation immediately, you can get the incorporation for free, or you don't have the CHF 20k (temporarily, you can take most out later) starting capital to make new one.

Thanks for the response.

I have a gmbh and my business partner has one aswel. we are thinking about using his gmbh for our new joint venture as he wont be needing his soon. make sense? to use his we would have to wait until march ( his current business stops then ) which leaves things a little tight as the new venture is a summer business starting in April. We dont know whether to wait for his gmbh to be free or creat a new one. I would buy into his current one if we we choose that opiton but only after the winter. Using his would creat more stress and creating a new one can be done at anytime.

As im sure you know setting up a new gmbh costs around 4k ( including taxes etc ) but if renaming and defining the purpose of an old one? Is the savings worth the wait?

Suggest don't wait, there will be enough stress before starting commercial activities and you want all incorporation, payroll, AHV, PK, VAT, communications, trademarks, etc. registrations and enrolments done prior to this.
Not sure where your CHF 4k number comes from for costs, looking at the startups.ch website (just one option of many) they give guideline of CHF 1230 to 2000. They even have a dandy calculator in English https://startups.ongedo.com/en/default/index/index

Also suggest write articles of incorporation and statutes broadly (i.e. "active in production and distribution of packaged goods" vs. "active in sales of single serving vegan cheese slices"), have ability to buy/sale real estate, have ability to invest other companies foreign and domestic, etc. to give yourself max flexibility.

We have renamed and repurposed our Gmbh, it is a fairly quick and painless process (in Zurich), all arranged by our accountant who is a master at all things for small business. The only concern I would have is taking on the existing liabilities of the previous Gmbh, can you really be sure that there are no outstanding bills? Given that you are partnering with the previous owner this should mean you trust them but a simple contract between yourselves stating his/her is liable for all before xx date. Pretty sure it cost under Chf1000 to do it.
