Forming a new business in CH

Dear friends,

Along with a partner, i am in the process of establishing a company for selling a special product from the design business via online shop. I am looking right now for an accountant / firma to acquire their service for advicing us regarding company types, opening the company, and eventually doing our Tax later on. Naturally, before each company we meet with, I like to get preapred with all the baxkground info, so I have a good idea about the issue. As a foreigner here, I must say I am basically stuying now all the Swiss laws, and wanted to knwo maybe anybody aroudn here has already "been there" in this situation.
I am looking for the following info:

* What types of comapnies exist here? Sole, partnership, Ltd, so on...

* How do we get a Vat number?

* Tax - is it like the "usual" in other countries, that from thebusiness income, we can deduct all the expenses ?

* Banking - Is a formal business plan is a MUST for getting a loan? lets say around 50,000 chf?

* know any good market research company here or in the UK taht has the service of performing a market research regarding a specific product in the whole EU countries?

Hi Guybrush,

I'll give you my advice from Istanbul, hope it will help :-)

Regarding company types, tax laws etc. you may wish to check www.amcham.ch the Swiss American Chamber of Commerce. And also www.swissnetwork.com

VAT issue I do not know.

Tax is more or less similar in many countries. Some expenses are deductible some not. You can purchase tax laws from the Chamber or probably find them free on the net though a good accountant will be much more helpful.

From the banking side (internationally) they usually love to ask for a collateral in excess of 100% (principal amount + cost of allocating that money for you + lost profit if things go wrong + expenses + security margin). In North America a sound business plan is very important. It probably would be so in Switzerland too. It shows that you are serious when you walk in, you did some serious ***business thinking*** etc.

Find some critic who will play the devil's advocate when u explain your business. It will be painful but you will get solid returns... Do this before meeting the banker ! Because he should do this !

I have the feeling that this will be your first enterprise. If so you need to be very careful, sharp, well prepared.

My suggestion is that when the banker asks for you to sign a document that will allow them to pursue any/all assets of you do not give in. To do so, you may wish to find some alternative credit sources.

An 'angel investor' may be a better option for you, I am sure there are those types of people everywhere.

Market research firms (in my experience) cater only to big named guys and if some small business comes in they give the job to the lowest ranking person and get an unprofessional report. This is my experience and I do not know much about this issue.

Regarding your all q's, in the canton you will be, there may be a small business support program run by the canton etc. They may help u a lot .
