Opening a GMBH company

Respected sir / madam,


I living and working in vaud konton. I am very much interested to found my company GMBH with least amount of money. I am sorry for my English.

Currently I am building Software with my team and in next 1 month it is going to be ready to operate in Switzerland. I am working on my own project from last 7 – 8 months regular late night evening and mornings. Now this software is a website called “www.mywebsite.com under construction - sorry can not write website name right now” which will help Switzerland market to connect directly with Asian tourism Industry . Or in another terms called Booking Engine.


Currently I am working as Full time employee in Switzerland .

First I would like to make a small independent company on my name or I would like to proceed to GMBH Company as I listen that it is more efficient to work with.

I have limited budgets because my all investments are already going in developing my software because servers etc all things cost a lot in market now days.
I have already spent more than 20,000 CHF to keep my development going on. But now I listen that to open GMBH cost more than 20,000 CHF . At this stage it is not possible for me to spend a lot of money again.



So I want to know how I can find the middle way. I need to have a registration number in Switzerland ASAP so that I can operate my project legally and start making contracts with vendors.



So I will be thankful that if you could guide me with your professional experience what steps I have to take in future to keep my business and work going on.



I will be glad if you could help me to make a stable cheap and best company.

C'mon, do your research. There is plenty of info on here and on the web in English on how to set up business in Switzerland. Obviously you haven't done any research yet or you would have known that it doesn't cost 20'000 CHF to set up a GmbH.

Once you've done your research I'd be happy to explain further any detailed questios you may have if I can.

but it is 20,000 chf is bank deposit that you must enter.

No it's not, you need to show 20k in total of which about 50% can be physical assets, ie computer, car, whatever (don't count yourself as you are certainly no asset) Once the money has been placed in the notaries account, he will go ahead and open your company and register it with the Chamber of Commerce, in all, this will cost about Chf 2'000- 2'500.

The notary will deduct his fee and that of the Chamber of commerce and return the rest to you and you can do what you want with it, but as it's "company money" you will need to account for it.

Don't ask for any further advice free of charge, if you want i can bill (payment in advance) Chf 500.--/hour, otherwise pay for 30 minutes of a notarys' or a lawyers' time and get them to explain how to do it, just like we all did.

Your alternative would be top use the search engine on this site, ALL the information you need is here, if you can't be bothered why should we give out time free of charge ?

Why is there so much negativity on this website? There never used to be. If you do not want to answer a question then you don't need to. Some people like being friendly and giving advice, even if it is already on the internet somewhere. It's like trying to shut down a conversation that no one actually expects you to be a part of if you dont want to be! There said my piece, and let the negativity start all over again!

I always thought AG is the way to go right?

GMBH is like LLC and you're responsible if company goes belly up.

No you're not. (unless the company went bust because of fraud by you, bit that would be pretty much the same with an AG)
