Closing GmbH - what happens to any funds left

After fifteen years, I'm closing my GmbH. One thing I don't quite get, is what happens to any money in the company bank account once all debts have been settled, all shut down processes paid for and all invoices have come in?

The reminder is distributed amongst the owners (Gesellschafter).

Quote:
If any assets remain once debts are paid, the liquidator distributes them among the shareholders in proportion to their payments, also taking into account the preferential rights attached to their shares in the company.

But thanks for the info. I guess that would be taxed as a final dividend.

Well, as the company is being closed down, first you repay the original deposit/investment. That part should be tax free.
